Vircon Legal advised TRANGELS on its seed investment in Adgager, executed jointly with Telos Angels. The transaction closed on 14 November 2016. The financial terms of the round were not disclosed at the request of the parties.

The mid-2010s saw the Turkish angel ecosystem move past its initial experimental phase as multiple network channels — TRANGELS, Telos Angels, Galata Business Angels and other coordinated angel structures — began routinely co-investing in the same early-stage rounds. Multi-network seed rounds carry a particular drafting challenge that pure single-network rounds do not: the documentation has to function consistently across two or more network frameworks, each with its own internal expectations around information rights, follow-on protections, governance representation and reporting cadence. Getting these expectations aligned at closing is what allows the company to operate without being torn between competing investor reporting demands in the years before its next financing round.

Vircon Legal advised TRANGELS on transaction structuring, subscription documentation, valuation mechanics, investor-rights and governance design between the participating angel networks, post-closing reporting expectations and the documentation architecture required for multi-network early-stage capital to operate consistently. Investor-side counsel in multi-network rounds carries a coordinating function as well — the work is not only about protecting the represented network’s interests but about producing documentation that the other participating network can also operate within without ongoing friction.

TRANGELS and Telos Angels were both, and remain, among the more institutionally-disciplined angel networks in the Turkish ecosystem. Their joint participation in the Adgager seed round reflected the broader pattern of coordinated network capital that became increasingly characteristic of Turkish early-stage venture activity through the mid-2010s.
