US Flip-Up Decision Checklist
The answer to "Should I flip up to the US?" sits across four dimensions: strategic fit, operational readiness, cost/tax, and timing. Fill out these 15 items, then read the decision matrix at the bottom.

SECTION 1 · 4 ITEMS
Strategic Fit
Does flip-up make strategic sense for you? Target investors, market geography, instrument preference, and exit path need to be clear.
A meaningful share of your target VC funds (US-based like Andreessen Horowitz, Sequoia, Coatue, NEA; or EU-based like Index, Accel) have LPA restrictions preventing direct investment into Turkey-domiciled companies. If 50%+ of your target list falls into this group, flip-up is required.
Over the next 24 months, will 30%+ of your customers be in the US or EU? B2B SaaS customers typically prefer the supplier to be a US entity (contract law, dispute resolution, payment rails). For a Turkey-focused market model, flip-up is often unnecessary.
Does your early-stage fundraising plan include SAFE or post-money Convertible Note instruments, and do you plan to grant employees real stock options (NSO/ISO, not phantom)? These structures are standard in a Delaware C-Corp; in Turkish Ltd./AŞ they're either legally impossible or highly complex.
Is your ideal exit a Nasdaq/NYSE IPO or a sale to a US-based strategic buyer (Salesforce, Google, MongoDB, etc.)? Both require a Delaware C-Corp. If the target is Borsa Istanbul or a local sale, flip-up may not be necessary.
SECTION 2 · 4 ITEMS
Operational Readiness
If strategic alignment is in place, what's the company's "feasibility" status? These 4 items determine whether flip-up can be executed cleanly.
All shares in the Turkish entity are properly registered, percentages clearly defined, no ongoing disputes or claims. Releases have been signed with former founders. The cap table shows no inconsistencies.
Code, trademarks, content, domains — all owned by the company. No company IP remaining in personal GitHub accounts, former co-founders' hands, or freelance developers' repositories. All current employees and contractors have signed IP assignment + confidentiality agreements.
Last 3 years' financial statements are ready and auditable, no outstanding tax liabilities, no ongoing tax audits, transfer-pricing ambiguities resolved. Any unreported income or uncollected VAT from prior periods has been corrected.
Post-flip cap table (founder splits, ESOP pool size, existing investor positions) is modeled. Turkey-side tax/transfer-pricing advisor is in place + US-side corporate attorney (Delaware, 83(b), formation, EIN, bank opening) is selected.

Cost and Tax Analysis
What's the concrete cost of a flip-up, and how will the tax structure work? These 4 items surface the actual numbers.
The difference between the Turkish company's book value and the transfer price is taxable. For pre-revenue or low-book-value companies, this cost is minimal. For revenue-generating, appreciated companies, the gain can climb into the millions of TRY — has a tax advisor produced a concrete number?
C-Corp federal corporate tax is 21%. Delaware franchise tax ($175 to $200K+ depending on revenue, annual $400-$200K+). If the operational address is in a different state (California, New York), additional state income tax applies. Has this annual burden been modeled?
The C-Corp pays the Turkish subsidiary a service fee on a cost-plus basis (cost + 5-15% markup). This structure must be documented through an intercompany service agreement and a transfer pricing study — essential for both IRS and Turkish Revenue Administration audits.
If IP sits in the upper entity (C-Corp), Turkey's R&D Center status, KOSGEB grants, and Techno-Entrepreneur Capital advantages are lost. If IP stays in Turkey and is licensed to the C-Corp, the incentives are preserved but require additional structure (license agreement + royalty). Which structure was chosen?
SECTION 4 · 3 ITEMS
Timing
Right decision + right preparation + right cost — so should it happen now? These 3 items answer the "when."
If you've taken a prior SAFE/Convertible Note or equity round, existing investors need to approve the share transfers. The approval process can take 2-4 weeks; start it before the flip-up. If approval can't be obtained, an exit or buyout structure needs to be negotiated.
To minimize tax cost, flip-up is ideally done at the pre-seed/seed stage (revenue $0-200K range). A company at $1M+ ARR will face significant gain tax on flip-up. Tax compounds as company value grows — moving early is cheaper.
The main reason for flip-up is usually a near-term US/EU VC round. If your fundraising timeline is 18+ months out, doing the flip-up closer to that date may be smarter — you avoid paying gain tax upfront while the company grows in value.
Decision Matrix — What Do the Results Mean?
The distribution of items you've checked points you toward the right decision:
- Section 1 checked 3+/4: Flip-up is strategically meaningful. Target investors, market, and exit path align.
- Section 2 checked 4/4: Company is operationally ready. Address any gaps before proceeding.
- Section 3 checked 3+/4: Cost and tax structure is acceptable. Your budget can absorb this.
- Section 4 checked 2+/3: Timing is right. You can start now.
- All four sections above their thresholds: Green light for flip-up — kick off the 4-8 week process.
- Section 1 weak (1-2 checks): Defer — Turkish entity structure may suffice for now.
- Section 2 incomplete: Fix the gaps first (cap table, IP, financials), then flip-up.
- Section 3 heavy: Consider alternative jurisdictions (Cayman, Estonia, UAE) or pull the timing earlier.
