Şirket Ortağım operated as a structured early-stage capital channel in the Turkish ecosystem, bringing institutional discipline to seed-stage transactions where the company profile fit the platform’s deployment thesis. Investor-side counsel at this stage focuses on documentation that delivers two things at once: protection of the investor’s economic and governance interests at closing, and architecture that allows the portfolio company to operate without ongoing friction in the years before its next financing event. Getting these workstreams aligned at closing is what allows the relationship to remain productive through the company’s subsequent growth and fundraising activity.
Vircon Legal advised Şirket Ortağım on transaction structuring, subscription documentation, valuation mechanics, investor-rights and governance design, information-flow expectations, follow-on protection mechanics, and the documentation architecture that lets a structured early-stage investor operate consistently across multiple portfolio companies. Investor-side representation at the early stage carries a different structural emphasis than founder-side work: the focus shifts to information rights, follow-on protection, pro-rata mechanics, anti-dilution treatment, and the governance levers that allow the investor to remain coherently positioned through the company’s subsequent capital-formation events.
