On 25 November 2016, Mümtaz Hacıpaşaoğlu delivered a “Startup Law 101” training session at Boğaziçi University Entrepreneurship Center (BÜGM) — the first in what would become a recurring engagement with the Boğaziçi startup community.
Why Startup Law 101?
The 101 format walked Boğaziçi student founders through the legal essentials of building a startup in Türkiye — from co-founder agreements to first venture round mechanics. Topics covered:
- Founder Agreements — vesting, IP assignment, equity splits
- Incorporation — Anonim Şirket vs Limited Şirket, when Delaware C-Corp matters
- Equity & ESOP design — option pools, cliff/vesting
- SAFE & convertibles — Y Combinator pattern adapted to Türk-incorporated entities
- Term sheet reading — liquidation preference, anti-dilution, board composition
- Common founder mistakes — pre-formation IP, side projects, tax/timing
