What is Series B funding?
Series B is the venture capital financing round following Series A, typically raised to scale proven product-market-fit, expand the team, enter new markets and grow customer acquisition. Series B amounts typically range US$20-60 million in the U.S., with valuations between US$100 million and US$300 million pre-money.
Series B preferred stock is layered above Series A in the liquidation-preference stack. Standard documents mirror the NVCA framework, with updated reserved-matters consent rights, additional protective provisions and refreshed cap-table mechanics.
