A capital commitment is the total sum a limited partner agrees to provide to a venture fund over its life. The money is not paid upfront; the manager calls it in instalments (capital calls) as investments and expenses arise.
The difference between committed and called capital is what lets a fund plan deployment and reserves. Failing to honour a capital call can trigger significant default penalties under the fund’s limited partnership agreement, so commitments should match an LP’s genuine liquidity.

A capital commitment is the amount a limited partner legally pledges to a fund, not the cash it pays up front. The fund draws this commitment down over time through capital calls as it makes investments, so an investor’s “uncalled” commitment is a standing obligation that can be triggered on short notice. The legal weight sits in what happens on default: a partner that fails to meet a capital call typically faces severe penalties under the fund documents — forced sale of its interest at a steep discount, loss of distributions, or dilution. For investors, the practical point is that a commitment is a real liability to be managed for liquidity; for fund managers, well-drafted default remedies are what keep the fund’s capital base reliable.
Commitment mechanics and default
The capital commitment is the legal source of a fund’s money: LPs wire nothing at signing; they undertake to answer capital calls within defined windows. The LPA’s critical clauses cluster around call mechanics — notice periods, purpose limits, post-investment-period restrictions (follow-ons and expenses only) — and, hardest of all, the default regime: interest on late funding, suspension of voting, forced transfer at a discount, and in the extreme, punitive forfeiture of the position. Turkish GSYFs build the same architecture through fund rules and participation commitments under SPK regulation. Founders should read it from their side too: the “dry powder” behind a fund’s term sheet is only as good as the callability of its LP commitments.
