On 5 December 2016, Mümtaz Hacıpaşaoğlu joined the MEF University Entrepreneurship course as a guest lecturer: delivering the startup-law module that prospective founders need before they hit term-sheet conversations.
Lecture Focus
The session converted the standard Vircon “Startup Hukuku 101” curriculum into a university lecture format covering:
- Pre-incorporation considerations: IP ownership, founder agreements, equity split logic
- Entity selection: Anonim Şirket vs Limited Şirket vs Delaware C-Corp trade-offs
- Investment instruments: SAFE, convertible notes, priced equity rounds
- Reading a term sheet: liquidation preference, anti-dilution, board, drag-along, protective provisions
- KVKK compliance from day one: data protection requirements for early-stage startups
- Common legal mistakes: what to avoid before raising capital
