On November 8, 2018, hosted by Ankara Development Agency, as part of the TechAnkara Project Market 2018, our Managing Partner Erdem Mümtaz Hacıpaşaoğlu and R. Okan Şencan delivered the Startup Law Seminars for founders whose projects would be exhibited at the event.
The central thesis of the seminar was clear: the path to scaling a venture runs through a legal backbone designed correctly from day one: from incorporation to partnerships, from investment rounds to intellectual property.
Seminar scope
Choosing whether to incorporate and selecting the right entity type; founders’ agreements, vesting, IP transfer; the design of employee option plans; the legal framework of KOSGEB, TÜBİTAK and R&D incentives; SAFE and convertible instruments in investment rounds; SHA clauses and the balancing of investor rights: all were covered with practical examples.
Target audience
The seminar offered a practical legal roadmap for early-stage founders in Ankara’s tech ecosystem, and was an important step in diffusing startup-law expertise across ecosystem actors and regional development agencies.
Highlights from this seminar
- Setup: Entity choice and founders’ agreements
- Partnership: Vesting, IP transfer, employee options
- Investment: SAFE, convertible, core SHA clauses
- Incentives: KOSGEB, TÜBİTAK, R&D framework
