What is a friends-and-family round?

A friends-and-family round (or F&F round) is a startup’s first capital raise from personal connections — friends, family members, mentors and former colleagues — typically before any institutional capital is available. F&F rounds are usually small (US$10K–US$200K total) and serve to fund the earliest validation and MVP work.

F&F rounds raise specific legal risk: investor protection rules in most jurisdictions require disclosures even for unsophisticated investors. Founders should use proper SAFE or convertible note documentation, verify accredited-investor status where required, and document the relationship clearly to avoid family disputes later.
