Par value still affects franchise tax calculations in some US states (Delaware franchise tax includes a par-value-based calculation), and may affect minimum capital requirements in civil-law jurisdictions including Türkiye, where the TTK specifies minimum nominal share values for joint-stock companies. Sophisticated counsel optimize par value to minimize tax exposure while preserving structural flexibility.
